Terms of Service

Last updated

The rules for booking on Nightlife and for venues selling their nights with us, written to be read.

At a glance

  • You must be 21+ to book, and the venue checks ID at the door.
  • Your booking is a contract with the venue. Nightlife takes the booking and the payment on its behalf.
  • Each venue sets its own house rules, dress code and right of admission.
  • Cancellation and refund rules come from the venue; a cancelled night is refunded in full.
  • Passes are personal and not transferable unless the venue allows it.
  • Venues get paid through Stripe Connect, minus a flat 5% commission that includes card fees.

1.About these terms

Nightlife (operated by [Company legal name], "Nightlife", "we", "us") runs two things: a public marketplace where guests discover venues and book VIP tables, tickets and guest list spots, and a software platform that nightlife venues use to sell and run those nights.

These terms apply to everyone who uses either one. Sections 2 to 8 matter most if you are a guest. Section 9 adds the terms that apply to venues and their staff. Everything else applies to both.

By creating an account, making a booking or using the platform, you accept these terms and our Privacy Policy. If you do not agree, please do not use Nightlife.

2.Eligibility and accounts

You must be at least 21 years old to book on Nightlife, and every guest in your party must meet the age the venue requires. Venues check ID at the door.

  • Give accurate details (name, email, phone) and keep them up to date.
  • Keep your login and booking links private. You are responsible for what happens under your account.
  • If you register for a venue, you confirm you are authorized to act for that business and to accept these terms on its behalf.

We may refuse, suspend or close an account that breaks these terms or puts guests, venues or the platform at risk.

3.How bookings work

When you book, your contract for the table, ticket or guest list spot is with the venue. The venue sets what is offered, the price, the minimum spend, the rules of entry and its cancellation policy, and it delivers the night.

Nightlife acts as an intermediary: we display the venue's offer, take your details, process your payment on the venue's behalf through Stripe and send you your confirmation and pass. We are not the organizer of the event and we do not operate the venue.

A booking is confirmed only once payment succeeds (or, for a free guest list spot, once you receive a confirmation). Availability shown on a page is not guaranteed until then. If an obvious error slips into a listing (for example a price missing a digit), the venue may cancel the affected booking and you will be refunded in full.

4.Venue rules and right of admission

Each venue has its own house rules, and they apply to you and your party. They commonly cover:

  • Age and valid government ID (21+ unless the venue states otherwise).
  • Dress code, arrival time and the size of your party.
  • Responsible service of alcohol and conduct inside the venue.

Venues keep the right to refuse entry or remove anyone, for example for missing ID, intoxication, dress code, unsafe behavior or capacity limits set by law. Whether a refund is due in that case is decided by the venue's policy (see Cancellation & Refund Policy).

5.Prices, fees and payment

Prices are set by the venue and shown in the venue's currency before you pay. The checkout shows exactly what you are charged online today.

Deposit or full prepayment

Depending on the offer, you either pay a deposit to hold a table or spot, with the balance settled at the venue, or you prepay in full. The checkout tells you which applies and how a deposit is counted.

Minimum spend

Many VIP tables carry a minimum spend: the amount the table is expected to spend on the night. Taxes, gratuity and service charges at the venue may come on top of it, as the venue states. Anything ordered at the venue is paid to the venue directly.

Payment

Online payments are processed by Stripe. We never see or store your full card number. By paying you authorize the charge shown at checkout.

6.Cancellations, refunds and no-shows

Each venue sets its own cancellation and refund rules, and that policy is part of your booking. Refunds are issued by the venue, in full if the venue cancels the night. Our Cancellation & Refund Policy explains how deposits, refunds and disputes work in practice.

  • If the venue cancels the event or cannot honor your booking, you get a full refund.
  • If you do not show up, or arrive after the hold time the venue states, your booking is treated as a no-show and is usually not refundable.

7.Passes and QR codes

After booking you receive a pass with a QR code. It is personal to the booking:

  • Passes are not transferable or resellable unless the venue explicitly allows it.
  • Each code is checked in once. A copied or shared code may be refused at the door.
  • Keep it private: whoever presents a valid code first may be admitted.

8.Acceptable use

When using Nightlife you agree not to:

  • book with someone else's payment method or identity, or book for resale;
  • use bots, scrapers or automated tools to book, collect data or overload the service;
  • interfere with security, probe for vulnerabilities or bypass access controls;
  • post false, abusive, infringing or unlawful content, or harass venues or guests;
  • use the platform for any illegal purpose, including underage access to alcohol.

9.Additional terms for venues

This section applies to venues and venue groups ("venues") that use the Nightlife platform, and to their staff.

9.1 Your listing and your nights

You are responsible for the accuracy of your listings, prices, minimum spends, house rules and cancellation policy, and for honoring every confirmed booking. You hold the licenses your business needs (including liquor licensing) and comply with the laws that apply to it. You grant us a license to display your name, logo, photos and content to promote and sell your nights.

9.2 Payments through Stripe Connect

Guest payments are processed through Stripe Connect. To receive them you open a connected Stripe account and accept the Stripe Connected Account Agreement, which includes the Stripe Services Agreement. Each payment is charged by the platform and transferred to your Stripe account, less our commission of 5% of the payment. Card processing fees are covered out of that commission. Payout timing is set by Stripe.

Refunds you issue, and chargebacks or disputes on your bookings, are deducted from your balance. The commission on a refunded payment is not returned unless we agree otherwise in writing.

9.3 Subscriptions

Each venue subscribes to a plan (Standard, Pro or Elite, as listed on our pricing page or in a written proposal). Subscriptions are billed monthly in advance, per venue, and renew automatically until cancelled. You can cancel or change plan at any time; a cancellation takes effect at the end of the current billing period and the period already started is not refunded. Prices exclude taxes. If a payment fails we may suspend access after notice until it is settled.

9.4 Guest data and messaging

Guest details from your bookings are shared with you to deliver the booking and are stored in your organization's CRM. You use them in line with the law and with our Privacy Policy. If you send SMS (through Twilio) or sync contacts to a marketing tool such as Mailchimp, you are responsible for collecting the consent those messages require and for honoring opt-outs (including under the TCPA and CAN-SPAM).

9.5 Your account and your team

You control who on your team has access and with what role, and you are responsible for their actions on the platform. You can export your data and close your account at any time.

10.Our content and yours

The Nightlife service, software, design and brand belong to us or our licensors. We give you a limited, revocable, non-transferable right to use them for their intended purpose. You may not copy, resell, reverse engineer or build a competing product from them.

You keep ownership of content you submit (reviews, photos, listings) and give us a non-exclusive, worldwide, royalty-free license to host and display it to run and promote the service. If you believe content on Nightlife infringes your rights, write to us at contact@since09.dev.

11.Third-party services

Nightlife relies on third parties such as Stripe for payments, and venues may enable tools such as Twilio or Mailchimp. Their own terms apply to their services. Links to other sites are provided for convenience; we are not responsible for their content.

12.Disclaimers

We work to keep Nightlife available and accurate, but the service is provided "as is" and "as available". To the extent the law allows, we disclaim implied warranties of merchantability, fitness for a particular purpose and non-infringement.

The venue, not Nightlife, is responsible for the event, the premises, the service of food and alcohol, security and the experience on the night.

13.Limitation of liability

To the extent the law allows, Nightlife is not liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue or data.

Our total liability for any claim relating to the service is limited to the greater of (a) the amount you paid through Nightlife for the booking in question, or for a venue, the fees it paid us in the 12 months before the claim, and (b) US $100.

Some jurisdictions do not allow these limits, so they may not fully apply to you. Nothing here limits liability that cannot be limited by law.

14.Indemnity

You agree to cover Nightlife against claims, losses and reasonable legal costs arising from your breach of these terms or your misuse of the service. Venues additionally agree to cover Nightlife against claims arising from their events, their premises, their content and their use of guest data.

15.Suspension and termination

You can stop using Nightlife and close your account at any time. We may suspend or end access if you break these terms, if required by law, or to protect guests, venues or the platform. Confirmed bookings and amounts already owed survive termination, as do the sections that by their nature should (including liability, indemnity and governing law).

16.Governing law and disputes

These terms are governed by the laws of the State of Florida, USA, without regard to its conflict of laws rules. Any dispute will be brought in the state or federal courts located in Florida, and you and we consent to their jurisdiction.

Before filing a claim, please contact us at contact@since09.dev so we can try to resolve it informally. If you live in the European Union or the United Kingdom, you keep the protection of the mandatory consumer laws of your country.

17.Changes to these terms

We may update these terms as the service evolves. The "Last updated" date at the top shows the current version. For material changes we give notice on the site or by email (to venues, at least 30 days ahead where practical). Bookings already made stay under the terms in force when you booked.

18.Contact
